Terms of Service

These Terms of Service ("Terms") govern your access to and use of the podcast production, audio, and related services provided by Northstar Audio Productions Ltd ("Northstar Audio Productions Ltd", "we", "us", or "our"). By engaging our services, requesting a quote, making payment, or otherwise instructing us to begin work, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
1. Introduction and Acceptance of Terms
These Terms form a legally binding agreement between you and Northstar Audio Productions Ltd in relation to our podcast production and related services. Any proposal, quotation, statement of work, email confirmation, or service order issued by us may supplement these Terms, but unless expressly stated otherwise, these Terms prevail in the event of any inconsistency.
You confirm that you are legally capable of entering into a binding contract and, where you act on behalf of a business or other organisation, that you have authority to bind that entity to these Terms.
2. Scope of Services
We may provide some or all of the following services, depending on your selected package, project brief, and written agreement:
- Podcast strategy and concept development
- Studio recording and remote recording support
- Audio editing and mastering
- Podcast launch planning and distribution
- Show notes and episode copywriting
- Branded intro and outro production
- Ongoing podcast production management
The exact scope, deliverables, timelines, revisions, technical specifications, and fees for any project will be set out in the applicable proposal, quote, invoice, or written agreement. Any services not expressly included are excluded.
We may use third-party tools, platforms, hosting services, distribution services, or subcontractors where reasonably necessary to perform the services.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and timely information, materials, access credentials, approvals, and feedback required for us to perform the services;
- Ensure that all content, audio, music, artwork, scripts, guest contributions, and other materials you supply are lawful and do not infringe any third-party rights;
- Obtain all necessary permissions, releases, licences, consents, and approvals for any names, voices, likenesses, music, recordings, images, trademarks, or other materials used in your podcast;
- Review all deliverables promptly and provide timely approvals, amendments, or rejection notices where applicable;
- Use our services only for lawful purposes and in compliance with all applicable laws, regulations, platform policies, and industry standards;
- Maintain secure access to any accounts, logins, or files shared with us and promptly notify us of any suspected unauthorised access;
- Not request or require us to produce content that is defamatory, misleading, infringing, harmful, unlawful, or otherwise inappropriate.
You acknowledge that delays caused by your failure to provide materials, approvals, or instructions may affect delivery dates and may result in additional charges.
4. Payment Terms and Conditions
Fees will be as stated in our quotation, invoice, subscription plan, retainer agreement, or other written confirmation. Unless otherwise agreed in writing:
- All fees are payable in GBP.
- Invoices are due within the period stated on the invoice or, if no period is stated, within 14 days of the invoice date.
- We may require advance payment, a deposit, or staged payments before commencing or continuing work.
- All amounts are exclusive of VAT or any similar taxes unless expressly stated otherwise.
- You are responsible for any bank charges, transfer fees, or currency conversion costs incurred in making payment.
If payment is overdue, we may suspend services, withhold deliverables, delay publication support, or terminate the agreement on written notice. Late payment interest and recovery costs may be charged to the maximum extent permitted by applicable law.
Unless expressly agreed otherwise, all quoted fees are based on the scope described at the time of quotation and may be adjusted if the project scope changes, if additional revisions are requested, or if work is delayed by factors outside our control.
5. Cancellation and Refund Policy
Either party may cancel a project or ongoing service arrangement in accordance with any notice period stated in the applicable agreement, subscription, or retainer. Where no notice period is stated, reasonable written notice must be given.
- Deposits and advance payments are non-refundable unless we expressly agree otherwise in writing or where refund is required by applicable law.
- If you cancel after work has started, you remain responsible for all work completed, committed third-party costs, and any non-cancellable expenses incurred up to the cancellation date.
- Where services are delivered in milestones, completed milestones are non-refundable.
- If you fail to respond, provide materials, or approve required items for more than a reasonable period, we may treat the project as suspended or cancelled.
If we cancel due to your breach, non-payment, unlawful instructions, or abuse, no refund will be due except where required by law. Any refund, if applicable, will be processed using the original payment method where reasonably possible.
6. Liability Limitations
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to the above, Northstar Audio Productions Ltd will not be liable for:
- loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or business interruption;
- loss, corruption, or inaccuracy of data or content supplied by you or by third parties;
- delay or failure caused by your acts, omissions, instructions, or failure to provide access or approvals;
- platform errors, hosting failures, distribution issues, or changes to third-party services;
- indirect, consequential, special, or punitive losses.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the services or these Terms shall be limited to the total fees paid by you to us for the specific service giving rise to the claim during the 3 months preceding the event giving rise to liability, or such other amount as may be required by applicable law.
You are solely responsible for the legal review and approval of your podcast content, including claims made in episodes, advertisements, sponsorships, guest statements, and show notes. We do not provide legal, financial, tax, medical, or other professional advice.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property owned or licensed by Northstar Audio Productions Ltd, including templates, workflows, methods, tools, know-how, software configurations, production processes, and generic materials, remains our property or the property of our licensors.
Upon full payment of all applicable fees, and subject to these Terms, we grant you a non-exclusive, non-transferable licence to use the final deliverables created specifically for you for the purpose of operating, publishing, and promoting your podcast.
This licence does not include any third-party materials embedded in the deliverables, such as licensed music, stock assets, software, plugins, fonts, or platform content, which remain subject to the applicable third-party licence terms.
You retain ownership of the content, recordings, branding, and other materials that you supply to us, provided you have the rights to use and authorise such materials.
We may, unless you request otherwise in writing and subject to confidentiality obligations, reference your project name and non-confidential excerpts of the work in our portfolio, website, showreels, case studies, and marketing materials.
8. Data Protection and Privacy
We will process personal data in accordance with applicable data protection laws and our privacy practices. Where we act as a data controller, we will handle personal data for the purposes of providing our services, managing client relationships, administering invoices, maintaining records, and complying with legal obligations.
Where we process personal data on your instructions as part of service delivery, you confirm that you have all necessary rights and lawful bases to provide such data to us. You are responsible for ensuring that any guests, contributors, or other individuals whose personal data you share with us have been informed appropriately.
You acknowledge that podcast production may involve the transfer of files and personal data through email, cloud storage, recording platforms, distribution services, and other third-party providers. While we take reasonable steps to safeguard data, no internet-based transmission or storage system is completely secure.

9. Force Majeure
We will not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to:
- acts of God, fire, flood, storm, or other natural disasters;
- war, terrorism, civil unrest, strikes, labour disputes, or industrial action;
- power failure, internet disruption, or telecoms outages;
- failure or unavailability of third-party platforms, software, equipment, studios, or suppliers;
- government action, regulation, embargo, or changes in law;
- epidemics, pandemics, or public health emergencies;
- other events reasonably beyond our control.
If a force majeure event continues for a prolonged period, either party may suspend or terminate the affected services by written notice, without prejudice to any rights accrued before the event.
10. Changes to Terms
We may update or amend these Terms from time to time to reflect changes in our services, business practices, legal requirements, or operational needs. The revised Terms will become effective upon publication or on the date stated in the updated version.
If you continue to use our services after the effective date of the revised Terms, you will be deemed to have accepted the changes. Where a change materially affects an ongoing service arrangement, we will use reasonable efforts to provide notice in advance.
11. Applicable Law and Jurisdiction
These Terms, any non-contractual obligations arising out of or in connection with them, and any dispute or claim relating to them shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory consumer rights or other applicable legal requirements.

13. Severability Clause
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or competent authority, that provision shall be deemed severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Where possible, any invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent.
